Terms and Conditions for arlanguages – Owner Alexandra Rieb
1. Validity
(1) These terms and conditions are valid for all orders/contracts which are taken on by Alexandra Rieb, whether for translations, editing or sound productions. By agreeing to the carrying out of an assignment, the client agrees to the terms and condition.
(2) The client is responsible for the payment of the order in all cases, regardless of whether the end client has paid or not.
2. Scope of Translation, Editing or Sound Production
1) The translation, editing assignment or sound production will be undertaken and accomplished by Alexandra Rieb in good conscience according to the best of her ability and in the framework of her knowledge.
(2) Special wishes and any particular ways of carrying out the assignment require a written agreement. If this has not been made, orders will be carried out according to the norm. This means: Translations and editing will be in British English, generally according to the spelling of the Oxford English Dictionary (first entry), in Microsoft Office Word in Font Arial, 12 points and with spacing of one and a half lines. The normal line for price calculation is 55 characters with spaces included, from the source language – calculated in Word. Special ways of carrying out orders would be, for example, the use of American English, special layout (formatting and software) etc.
(3) The client agrees to cooperate in the completion of the order. If the client does not fulfil this obligation, Alexandra Rieb has the right to refuse completion, or break off the order. Alexandra Rieb must inform the client of this in writing. If the order has been rightfully broken off, then the client remains obliged to complete the full payment of the order.
(4) The client will confirm receipt of the completed order in writing (receipt).
(5) Where the translation/editing order exceeds € 250, part payments are to be made following completion of the part that has reached € 250. Where a translation costs € 500, for example, the part reaching up to € 250 will be completed and the invoice made. Only after payment of this part will the following part be completed. So Alexandra Rieb has the right to withhold services as far as the completed assignment is concerned, and a right to withhold future services with regard to the part which has yet to be completed.
3. Adherence to Deadline and Breaking off
(1) Alexandra Rieb will endeavour to adhere to the deadline wherever possible. Alexandra Rieb will not be held liable for cases where reasons outside her powers hindered adherence to the deadline.
(2) An order can only be broken off in agreement with Alexandra Rieb. In the case of urgent orders which must be completed in one day, breaking off is excluded.
(3) In the case of illness or force majeur Alexandra Rieb may break off a contract and will not be held liable to the client.
4. Fees
(1) The fee will be agreed prior to the placing of the order and can be agreed on the basis of lines, words, time (minutes, hours) or an all-inclusive price. The contractually agreed fee is understood to include the legally appropriate VAT which will be added to the basic agreed price. Invoices are generally to be paid within fourteen days.
(2) In the case where the agreed fee is not paid on time, Alexandra Rieb will charge € 10 for the preparation and postage of a reminder.
5. Liability and Guarantee
(1) Where the client is a consumer, Alexandra Rieb is not liable for minor negligence.
(2) Where the client is a company Alexandra Rieb is not liable for incompletion where the placer of the order has signed receipt of the service in the sense of Paragraph 2 (4).
(3) Where the client does not accept the agreed service, as not contractual in the sense of Paragraph 2 (4), Alexandra Rieb has the right to make three attempts at correction.
6. Confidentiality
Alexandra Rieb will hold all information entrusted for the completion of an assignment confidential.
7. Participation of Third Parties
Alexandra Rieb may entrust the assignment to a third party or can allocate the assignment or parts of it to third parties.
8. Copyright and Legal Property
(1) The translation is the property of Alexandra Rieb until full payment of the order.
(2) Alexandra Rieb holds the copyright. Her name should be mentioned as translator.
9. Governing Law
(1) The governing law is the law of the Federal Republic of Germany.
(2) The place of jurisdiction is Freiburg.
(3) Subsidiary and other agreements must be made in written form.
10. Severability Clause
The applicability of these conditions for orders will not be touched by the nullity or invalidity of single clauses. The null or void clause is to be replaced by a valid one, which best reflects the economic target, that is to say, the desired result.
